These Terms of Service ("Terms") constitute a legally binding agreement between you and EchoDial LLC, doing business as QuickProposal ("Company," "we," "us," or "our"), concerning your access to and use of the QuickProposal website (quick-proposal.com) and related services (collectively, the "Service").
By accessing or using our Service, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.
The Service is intended for business owners and professionals. You represent that you are using the Service for legitimate business purposes and that all information you provide is accurate and complete.
To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account. We will not be liable for any loss or damage arising from your failure to comply with these security obligations.
We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent activity, or abuse of the Service.
QuickProposal offers various subscription plans with different features and pricing. By subscribing to a paid plan, you agree to pay all applicable fees as described at the time of purchase.
Subscriptions automatically renew at the end of each billing period (monthly or annually) unless cancelled prior to the renewal date. You authorize us to charge your payment method for the renewal fee. We will provide notice of upcoming renewals and any price changes.
Payments are processed through third-party payment processors (Authorize.Net). You agree to provide valid payment information and authorize us to charge your payment method for all fees incurred.
If a payment fails, we may attempt to process the payment again. If payment cannot be processed after multiple attempts, your account may be suspended or downgraded until payment is received.
We reserve the right to change our pricing at any time. Price changes will take effect at the start of the next billing cycle following notice to you. Your continued use of the Service after a price change constitutes acceptance of the new price.
You may cancel your subscription at any time through your account settings or by contacting customer support. Cancellation will take effect at the end of your current billing period.
All fees are non-refundable. If you cancel your subscription mid-billing cycle, you will retain access to the Service until the end of your current billing period, but no refund will be issued for unused time. See our Refund Policy for complete details.
Upon cancellation, your access to paid features will continue until the end of your current billing period. After that date, your account will be downgraded to a free plan (if available) or your access will be terminated.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your business purposes.

QuickProposal uses artificial intelligence (AI) technology to generate business proposals. The proposals generated are based on information you provide and general business practices.
The AI-generated proposals are suggestions only and do not constitute legal, financial, or professional advice. You are solely responsible for reviewing, editing, and verifying all proposals before sending them to clients. We recommend having proposals reviewed by appropriate professionals (attorneys, accountants, etc.) before use.
While we strive for accuracy, we make no guarantees regarding the accuracy, completeness, or suitability of AI-generated content. You acknowledge that AI systems can make errors and produce incorrect or inappropriate content.
You are solely responsible for all proposals you create using the Service, including any proposals sent to clients. You must review and customize all AI-generated content to ensure it is accurate, appropriate, and compliant with applicable laws and regulations.
The Service, including all content, features, functionality, software, text, graphics, logos, and other materials (excluding User Content), is owned by EchoDial LLC and is protected by copyright, trademark, and other intellectual property laws.
You retain ownership of all content you submit, upload, or create using the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content solely to provide the Service to you.
You own all proposals generated using the Service. However, you acknowledge that similar proposals may be generated for other users based on similar inputs.
The Service integrates with third-party services, including payment processors (Authorize.Net, Stripe), AI services (OpenAI), and email services. Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the actions, content, or policies of third-party services.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
WE DO NOT WARRANT THAT:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ECHODIAL LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
You agree to indemnify, defend, and hold harmless EchoDial LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:
Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy. By using the Service, you consent to our collection and use of your information as described in the Privacy Policy.
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.
You agree that any legal action or proceeding arising from or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Pasco County, Florida. You consent to the jurisdiction of such courts and waive any objection to venue.
Any dispute, claim, or controversy arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Pasco County, Florida.
You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, consolidated action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and EchoDial LLC regarding the Service.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms at any time without notice.
We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, war, terrorism, pandemic, labor disputes, or third-party service failures.
